Agreement to Terms
By accessing or using the services provided by CarLeopard Agency ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Description of Services
CarLeopard Agency provides technology and consulting services for automotive dealerships, including but not limited to:
- CRM and workflow automation setup
- Inventory intelligence and merchandising
- Lead-to-appointment automation
- AI phone and SMS agent deployment
- Vehicle verification and risk assessment
- Website optimization
- Reporting and analytics
Client Obligations
As a client, you agree to:
- Provide accurate and complete information about your dealership
- Maintain the confidentiality of your account credentials
- Use our services in compliance with all applicable laws and regulations
- Provide timely access to necessary systems and personnel for implementation
- Pay all fees according to the agreed payment schedule
Payment Terms
Fees for our services are outlined in your service agreement. Payment is due according to the terms specified in your agreement. Late payments may result in service suspension. Setup fees are non-refundable once work has commenced.
Intellectual Property
All intellectual property rights in our services, including software, documentation, and methodologies, remain our property. Clients receive a license to use deliverables for their internal business operations only. Client data remains the property of the client.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of the agreement.
Data Security
We implement industry-standard security measures to protect client data. However, no system is completely secure, and we cannot guarantee absolute security. Clients are responsible for maintaining secure access credentials.
Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the amount paid by you for the services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Termination
Either party may terminate the service agreement with written notice according to the terms specified in the agreement. Upon termination, you remain obligated to pay all fees incurred prior to termination.
Service Level Commitments
We strive to maintain high availability of our services. Specific service level agreements (SLAs), if applicable, are detailed in your service agreement. Scheduled maintenance and circumstances beyond our control are excluded from uptime calculations.
Governing Law
These terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Detroit, Michigan.
Changes to Terms
We may modify these terms at any time. Material changes will be notified at least 30 days in advance. Continued use of our services after changes constitutes acceptance of the updated terms.
